These terms of service ("Terms") govern your use of TenderDraft ("Service"), operated by Overpass Apps Ltd ("Company", "we", "us", "our"), a company registered in England and Wales.
By using TenderDraft, you agree to these Terms. If you do not agree, please do not use the Service.
1. The Service
TenderDraft is an AI-powered tool that assists users in drafting tender responses. The Service provides AI-generated draft content based on information you provide, including company profiles, policies, and tender questions.
2. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must be at least 18 years old and have the authority to bind the organisation you represent.
- You are responsible for all activity that occurs under your account.
3. Licence to Use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription period.
You may not:
- Sublicence, resell, or redistribute the Service
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to develop a competing product
- Use automated tools to scrape or extract data from the Service
4. AI-Generated Content
Important:
- TenderDraft generates draft content to assist your bid writing. All AI-generated outputs must be reviewed, verified, and approved by you before inclusion in any tender submission.
- You are solely responsible for the accuracy of all claims, statements, and information in your tender responses.
- TenderDraft does not guarantee that any tender response will be successful.
- AI-generated content is provided as a drafting aid only. It does not constitute professional bid-writing advice.
- You must ensure that any AI-generated content you submit in a tender response is truthful and accurate. Submitting false or misleading information in public procurement is a serious matter that may have legal consequences.
5. Intellectual Property
Your content: You retain all intellectual property rights in the content you upload or input into TenderDraft, including company profiles, documents, policies, and tender responses. We do not claim ownership of your content.
AI-generated outputs: The AI-generated draft responses belong to you. You may use, modify, and submit them as part of your tender responses without restriction.
Our service: TenderDraft, including its design, software, algorithms, and documentation, is owned by Overpass Apps Ltd and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the licence described above.
6. Data and Security
We understand that tender responses contain commercially sensitive information. Please refer to our Privacy Policy for full details on how we handle your data.
- Your content is encrypted in transit and at rest.
- Your content is never shared with other users.
- Your content is never used to train AI models.
- You can export and delete your data at any time.
7. Subscription and Payment
- TenderDraft is offered on a monthly subscription basis.
- Prices are stated in GBP and are exclusive of VAT where applicable.
- Subscriptions renew automatically unless cancelled before the renewal date.
- We reserve the right to change pricing with 30 days' notice.
- Refunds are handled on a case-by-case basis. If you are unsatisfied, contact us within 14 days of payment.
8. Acceptable Use
You agree not to use TenderDraft to:
- Generate fraudulent, misleading, or dishonest tender responses
- Violate any applicable laws, regulations, or procurement rules
- Upload content that infringes the intellectual property rights of others
- Attempt to gain unauthorised access to the Service or other users' data
- Overload or disrupt the Service infrastructure
9. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any losses arising from service downtime.
10. Limitation of Liability
To the fullest extent permitted by law:
- TenderDraft is provided "as is" without warranties of any kind, express or implied.
- We do not warrant that AI-generated content will be suitable for any particular tender or procurement process.
- We are not liable for any loss of business, contracts, revenue, or profits arising from your use of the Service.
- We are not liable for the outcome of any tender submission.
- Our total liability to you for any claims arising from these Terms shall not exceed the fees you paid to us in the 12 months preceding the claim.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Termination
- You may cancel your subscription at any time through your account settings.
- We may suspend or terminate your account if you breach these Terms.
- Upon termination, you will have 30 days to export your data before it is deleted.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice on the website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
